Affinia Announces Offering of $225 Million Senior Secured Notes

Affinia Group Inc. today announced that it intends to offer and sell $225 million aggregate principal amount of senior secured notes due 2016 (the “Notes”). Affinia will use the net proceeds, together with funds from other sources, to repay its existing term loan, its existing revolving credit facility and its accounts receivable securitization facility. The Notes have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), and, unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and other applicable securities laws.
